EGLO to Sell North American Operations to Private Buyer

EGLO U.S. and EGLO Canada (dba “EGLO North America”) have signed a definitive asset purchase agreement to sell their operations to a privately held, North American family-owned business.

The buyer will acquire substantially all of EGLO North America’s assets and operations in the U.S. and Canada and will continue the business under the name “thēsis,” the brand that officially debuted last month at EGLO’s Dallas showroom during Lightovation.  

President & CEO of EGLO North America Dave Pamer will remain in the same capacity with the new company. He noted, “An exciting future lies ahead for us. This is so much more than just a strategic acquisition; it is the perfect opportunity to achieve our mission to be a North American family-owned company led by an experienced lighting team dedicated to developing elevated decorative residential lighting and ceiling fans specifically for the North American markets. The opportunity ahead of us lies in the synergy of our team and the unmatched expertise they bring to the table. We intend to embrace this moment by listening to our customers and sales agencies, investing in the product’s core strengths, and pushing the boundaries of what’s possible to ensure thēsis delivers on its intentional product, brand and customer experience.”

According to Pamer, the private buyer has more than 30 years of experience in the design and manufacturing of decorative lighting. After the transaction closes, thēsis will be 100% owned by the buyer, in conjunction with key management, and led by EGLO North America’s existing management team, who will continue to focus on designing and developing decorative residential lighting and ceiling fans for its distribution partners.

As part of the proposed transaction, thēsis will enter into a multi-year Option and Brand Use Agreement with EGLO of Austria, to grant thēsis the exclusive license and right to continue offering existing EGLO products as well as introducing new EGLO products under the EGLO brand in North America.

Pamer stated that this agreement will support thēsis in accomplishing its planned strategy, outlined in August 2024, of “evolving and transitioning thoughtfully from its European modern heritage to a company viewed by channel customers as artfully executing a broader North American market appeal through a wider design window inspired by its own transition, while maintaining a connection to its roots.”

He noted that, most importantly, thēsis will operate under the leadership of the existing management team, with significant operational autonomy. Backed by strong capitalization and the strategic support from its new family owners, thēsis will have the financial flexibility to invest in its planned growth — and in the success of its distribution customers and independent sales agencies.

The proposed acquisition of EGLO’s North American operations remains subject to the customary completion of closing conditions over the next two weeks.
